I have two Tables like below. Now i need to merge both table and create a new table. How to do this.

Did you try unchecking "Enable parallel loading of tables" under Options, Data Load?

yes i followed the same steps. Table 1 contain 63 lack row of data and Table 2 contain 2 lack Row of data. When i merge it is showing as loading and till now its is showing as it had loaded 149700500 rows loaded and its still loading. How is this possible. Did i miss somthing.
What type of join did you use? Can you post screenshot of the merge queries dialog box?
i use left outer. Below is the screen shote.
